Terms of Service for Akherus Arts Inc.
Effective Date: These terms are effective as of the date you access our services and remain in effect until modified or terminated.
1. Acceptance of Terms
By accessing or using any application, website, or service provided by Akherus Arts Inc. ("the Company," "we," "us," or "our"), you ("the User") agree to be bound by these Terms of Service. If you do not agree, you must immediately cease all use of our services.
2. Intellectual Property and Data Ownership
Company Property:
All software, code, designs, graphics, and proprietary tools provided by Akherus Arts Inc. are the exclusive property of the Company.
Hosted Data:
While Users may provide data to be hosted on Akherus Arts servers, User hereby grants Akherus Inc. Arts a perpetual, irrevocable, world-wide, royalty-free, and non-exclusive license to host, store, reproduce, adapt, and distribute such data as necessary to provide, maintain, and improve the Services.
Derived Data:
Any metadata, analytics, or secondary datasets generated by the Company's systems based on User interaction are the sole property of Akherus Arts Inc.
3. Service Availability and "As-Is" Provision
Our services are provided on an "AS IS" and "AS AVAILABLE" basis. Akherus Arts Inc. does not guarantee that the service will be uninterrupted, secure, or error-free.
4. Limitation of Liability (The "Shield" Clause)
To the maximum extent permitted by applicable law, Akherus Arts Inc. shall not be liable for any:
- Loss of Business or Profits: Any loss of revenue, anticipated savings, or business opportunity resulting from the use or inability to use our apps.
- Downtime: Any direct or indirect damages arising from server outages, maintenance, or technical failures.
- App Removal: Any damages resulting from the removal of our applications from third-party stores (e.g., Google Play, Apple App Store) or the termination of your account.
- Data Loss: While we maintain backups, User is ultimately responsible for maintaining their own independent backups of critical data. Akherus Arts is not liable for data corruption or loss.
Maximum Liability: In no event shall the total liability of Akherus Arts Inc. for all claims arising from the use of any specific application or service exceed the total amount paid by the User to Akherus Arts for that specific application or service.
5. Indemnification
You agree to indemnify and hold harmless Akherus Arts Inc. and its employees from any claims, damages, or legal fees arising out of your use of the app, your violation of these terms, or your infringement of any third-party rights.
6. Termination of Service
Akherus Arts Inc. reserves the right to suspend or terminate your access to the services at any time, without notice, for any reason, including but not limited to a breach of these Terms.
7. Governing Law
These terms shall be governed by and construed in accordance with the laws of Canada, without regard to its conflict of law provisions.
